Two Layers: Federal Registration Does Not Replace State Licenses
The United States regulates Money Services Businesses (MSBs) at both the federal and state level, and neither layer substitutes for the other. This is the trap that catches newcomers most often. At the federal level, FinCEN requires MSBs to register and meet anti-money laundering obligations under the Bank Secrecy Act (BSA). At the state level, most states require money transmission businesses to obtain a separate Money Transmitter License (MTL), so a nationwide business often means dozens of state licenses. Operating with only a FinCEN registration is still unlicensed activity in most states.
The MSB category covers money transmission, issuing or selling money orders and traveler's checks, check cashing, currency exchange, prepaid access, and more. The crypto industry should pay particular attention: FinCEN guidance dating from 2013 treats administrators and exchangers of convertible virtual currency as money transmitters, which brings exchanges, custodial wallets and many OTC desks within the MSB definition.
Federal FinCEN Registration (RMSB)
The federal registration process is relatively simple: within 180 days of starting business, file the RMSB form (FinCEN Report 107) through the BSA E-Filing system. Registration is free and must be renewed every two years. There is no approval hurdle for the registration itself, but the accompanying obligations are real: a written AML compliance program, a designated compliance officer, staff training, independent testing, plus SAR suspicious activity reports and CTR currency transaction reports. FinCEN's public MSB registry can be searched by state and business type (it listed 28,873 registered entities as of the September 2026 update).
Enforcement is just as active. In October 2025 FinCEN issued a final rule imposing Section 311 special measures under the Patriot Act against Huione Group, cutting off its access to US dollar clearing. MSB registration is not a formality; the supporting compliance program is what regulators actually examine.
State-Level MTL: State-by-State Applications, Varying Standards
State license applications go through NMLS (Nationwide Multistate Licensing System) using the MU1 (company) and MU2 (control person) forms, but each state retains review authority: net worth requirements, surety bond amounts and approval timelines vary widely, and there are no uniform official figures. The common path for multi-state expansion is to obtain licenses in the states where business is concentrated first, then roll out from there; some states take part in the multistate joint examination program (MMLA), which reduces duplicate reviews.
Fees and timelines are set per state and should be checked against each state regulator's checklist published on NMLS. Consumers and counterparties can verify which states a company is licensed in, free of charge, through NMLS Consumer Access.
